  • Respect the intellectual property rights of VAYGEN and other parties.

We reserve the right to restrict access to our website if we reasonably believe that these terms have been violated.

4. Enquiries and Project Agreements

Submitting an enquiry through our website does not automatically establish a client relationship or guarantee that VAYGEN will accept the project.

Before work begins, both parties should agree on the relevant project details, including:

  • Services and deliverables.
  • Project fees and payment schedule.
  • Project timeline and milestones.
  • Number of revisions included.
  • Client responsibilities and required materials.
  • Cancellation, postponement, and refund conditions.
  • Ownership and usage rights for the final deliverables.

Written quotations, proposals, invoices, or signed agreements may supplement these Terms & Conditions. Where a separate signed agreement conflicts with these terms, the specific agreement will govern the relevant project to the extent legally permitted.

5. Pricing and Payments

All prices, quotations, and payment terms will be communicated to the client before the relevant work begins.

Unless otherwise agreed in writing:

  • Clients must pay according to the agreed payment schedule.
  • Advance payments, milestone payments, and final payments may apply depending on the project.
  • Additional work outside the agreed scope may incur additional charges.
  • Delays in client payments may affect delivery timelines.
  • Applicable taxes and other agreed expenses may be charged where required.

VAYGEN will communicate any agreed additional costs before undertaking the additional work.

6. Revisions and Changes

The number of revisions included in a project will be specified in the relevant quotation or project agreement.

Requests that substantially change the original concept, scope, script, design, duration, or deliverables may be treated as additional work.

We will communicate any applicable additional fees and timeline changes before proceeding with such work.

7. Project Timelines and Delivery

VAYGEN will make reasonable efforts to meet agreed delivery dates.

Timelines may be affected by circumstances such as:

  • Delays in receiving client feedback or approvals.
  • Late delivery of scripts, footage, images, or other materials.
  • Changes to project requirements.
  • Technical issues or third-party service interruptions.
  • Events beyond our reasonable control.

Where a delay occurs, we will make reasonable efforts to communicate the revised timeline.

8. Intellectual Property Rights

All intellectual property rights will be handled according to the applicable project agreement.

Unless otherwise agreed in writing:

  • VAYGEN retains ownership of its pre-existing tools, templates, workflows, methods, and reusable materials.
  • Client-provided content remains subject to the client’s ownership and applicable third-party rights.
  • Ownership and permitted use of final project deliverables will be determined by the agreed payment terms and written project agreement.
  • Third-party music, stock footage, fonts, software, images, and other licensed assets remain subject to their respective licence terms.

Clients are responsible for ensuring they have the necessary rights or permissions to use materials they provide to VAYGEN.

9. Portfolio and Promotional Use

VAYGEN may wish to display completed projects in its portfolio, website, social media accounts, presentations, or promotional materials.

We will obtain the client’s agreement where required by the project agreement, confidentiality obligations, or applicable law before publicly displaying work that is not otherwise authorised for disclosure.

Clients who require confidentiality or restrictions on portfolio use should communicate these requirements before the project begins.

10. Digital Marketing and Advertising

For digital marketing and advertising services:

  • Campaign results may vary depending on audience behaviour, budget, competition, platform algorithms, and other factors.
  • VAYGEN does not guarantee specific sales, leads, views, followers, engagement, rankings, or revenue unless expressly agreed in writing.
  • Advertising spend and third-party platform charges are separate from service fees unless stated otherwise.
  • Clients are responsible for the accuracy and legality of claims, offers, and materials they approve.
  • Social media and advertising platforms operate under their own policies and may change their features or requirements.

VAYGEN will use reasonable professional efforts to deliver the agreed services but cannot guarantee outcomes controlled by external platforms or market conditions.

11. Client Responsibilities

Clients agree to:

  • Provide accurate project information and instructions.
  • Supply required content, approvals, and feedback within reasonable timelines.
  • Ensure they have the necessary rights to all supplied materials.
  • Make payments according to the agreed schedule.
  • Review deliverables and communicate requested corrections within the agreed review period.
  • Avoid requesting unlawful, misleading, infringing, or otherwise prohibited content.

Client delays or failure to provide necessary materials may affect project completion.

12. Confidentiality

Both parties should take reasonable steps to protect confidential information shared during a project.

Confidential information must not be disclosed to unauthorised parties except where disclosure is authorised, legally required, or necessary for the performance of the agreed services under appropriate safeguards.

Confidentiality obligations may be further detailed in a separate non-disclosure agreement or project contract.

13. Third-Party Services and Links

Our website or services may rely on third-party platforms, applications, hosting providers, advertising networks, or external websites.

VAYGEN is not responsible for the independent policies, availability, or performance of third-party services, subject to applicable law and any obligations expressly accepted by VAYGEN.

Use of third-party services may be subject to additional terms and conditions.

14. Cancellation, Suspension, and Refunds

Project cancellation, suspension, rescheduling, and refunds will be governed by the written project agreement and applicable law.

Where a project is cancelled:

  • Charges for completed work may remain payable.
  • Non-recoverable expenses already incurred may be chargeable where agreed and legally permitted.
  • Refund eligibility for advance payments will depend on the agreed cancellation terms and applicable law.
  • Outstanding payments for completed or approved milestones may remain due.

VAYGEN may suspend work after providing appropriate notice if required payments, essential materials, or approvals are not provided, subject to the project agreement and applicable law.

Any applicable consumer rights and statutory refund obligations will take precedence over inconsistent contractual terms.

15. Limitation of Liability

To the extent permitted by applicable law, VAYGEN will not be responsible for indirect or consequential losses arising from the use of our website or services where such exclusion is legally permitted.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability arising from fraud or other non-excludable circumstances.

Any additional project-specific liability arrangements must be agreed upon in writing and must comply with applicable law.

16. Indemnity

To the extent permitted by law, clients are responsible for claims arising from materials they provide or instructions they give where those materials or instructions infringe third-party rights or violate applicable law.

This provision does not remove any responsibility that VAYGEN has under applicable law or for its own wrongful conduct.

17. Privacy and Data Protection

Your use of our website is also subject to our Privacy Policy, which explains how we collect, use, and protect personal information.

Please review the Privacy Policy available on our website before submitting personal information.

18. Changes to These Terms

VAYGEN may update these Terms & Conditions from time to time.

Updated terms will be published on this page with a revised effective date. Changes will apply as permitted by law. Any existing project will remain subject to its agreed contractual terms unless the parties agree otherwise or applicable law requires a different result.

19. Governing Law and Disputes

These Terms & Conditions are subject to the applicable laws of India.

Any disputes will be addressed through good-faith discussions wherever reasonably possible. If a dispute cannot be resolved amicably, it will be handled by the appropriate courts or dispute-resolution mechanisms having jurisdiction under applicable law.

The appropriate territorial jurisdiction should be confirmed based on VAYGEN’s actual business location and legal arrangements.
